Clear terms for good work.

These Terms of Service establish the framework for using the website and engaging with Fulfil 3 Limited.

1. Agreement to these terms

By accessing this website or engaging Fulfil 3 Limited for services, you agree to these Terms of Service. If you are acting for an organization, you confirm that you have authority to bind that organization. If you do not agree, please do not use the website or services.

Additional written proposals, statements of work, or engagement letters may apply to a specific project. If there is a conflict, the project-specific document will govern that project to the extent of the conflict.

2. Services and communications

We provide the services described in an agreed scope. We will use reasonable skill and care, collaborate with you in good faith, and keep you informed about material project matters. Website content is provided for general information and may change without notice.

Any timelines, deliverables, or outcomes depend on the assumptions, approvals, dependencies, and information identified in the applicable scope.

3. Client responsibilities

You agree to provide timely access, information, decisions, feedback, and approvals reasonably needed for the work. You are responsible for ensuring that materials supplied by you are accurate, lawful, and do not infringe another person's rights.

You must not misuse the website, interfere with its operation, attempt unauthorized access, introduce malicious code, or use our content to violate applicable law.

4. Fees, expenses, and payment

Fees, payment dates, taxes, and approved expenses will be set out in the applicable proposal or statement of work. Unless that document states otherwise, invoices are payable within the stated invoice period. You are responsible for applicable taxes and reasonable pre-approved expenses.

If payment is overdue, we may pause work after providing reasonable notice. We will discuss material changes to scope, timing, or cost before proceeding where practicable.

5. Intellectual property

Each party retains ownership of materials it owned before an engagement. Subject to payment of all agreed fees, project-specific final deliverables created for you will be assigned or licensed as described in the applicable scope.

We retain ownership of our methods, know-how, templates, tools, concepts, and reusable components. You grant us permission to use your materials solely as needed to provide the services. Any public case study or testimonial will be used only with appropriate permission.

6. Confidentiality

Each party will protect the other party's confidential information and use it only for the relevant engagement. This obligation does not apply to information that is publicly available without breach, already lawfully known, independently developed, or required to be disclosed by law.

7. Warranties and liability

Each party warrants that it has the authority to enter into its agreements. Except where prohibited by applicable law, the website and services are provided without warranties beyond those expressly stated in an applicable written scope.

Neither party will be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from an engagement. To the extent permitted by law, each party's total liability will be limited to the fees paid or payable for the relevant services during the applicable engagement period. Nothing in these terms excludes liability that cannot lawfully be excluded.

8. Suspension and termination

Either party may end a project in accordance with its written scope or by giving reasonable written notice where no notice period is specified. We may suspend access or services where necessary to address security, legal, or payment concerns. On termination, you will pay for services properly performed and approved expenses incurred up to the termination date.

9. General terms

Neither party may transfer its rights or obligations without the other's consent, except as part of a reorganization or transfer of substantially all relevant assets. If a provision is unenforceable, the remaining provisions remain effective. A delay in enforcing a right is not a waiver. These terms and applicable project documents represent the understanding between the parties regarding their subject matter.

These terms are governed by the laws applicable to the relevant engagement, without regard to conflict-of-law rules. The parties will first try to resolve disputes through good-faith discussion.
